P.R. China (hereinafter called “Owner”); and
内蒙古中环光伏材料有限公司 ，在中华人民共和国境内成立的公司，其经营场所位于中国呼和浩特市金桥开发区，（以下简称“业主”）；和

WHEREAS 鉴于：
(A) The Owner intends to construct
of
(hereinafter called “The Plant”). 业主拟在
项目（以下简称厂房）。
(B)The Owner is desirous that certain works be executed by Contractor viz. the design, supply, delivery, installation, testing, commissioning and start up of the complete facility systems (hereinafter called “The Project”) and therefore has engaged Contractor for the design, execution and completion of the Project. 业主欲让承包商承担指定的工程，即对整个厂房设备系统的设计、供应、交货、安装、监督、检测、调试和启动（以下简称“工程”）并已聘请承包商承担本工程的设计、施工和完成上述工程。
NOW IT IS HEREBY AGREED AND DECLARED AS FOLLOWS: 协议双方就以下事宜达成一致：
1. Definitions 定义
1.1 In this Agreement all words and expressions have the meanings herein assigned to them except where the context otherwise requires:- 除非上下文另有规定，本协议中的字词与表达含义如下：
(a) “Owner” means Inner Mongolia Zhonghuan Solar Material Co., Ltd. and this expression shall include its successors-in-title and permitted assigns. “业主”为 内蒙古中环光伏材料有限公司 ，包括其法定继承人与认可的受让人。
(b) “Contract Works” or “Works” means the overall design-build work of the said facility systems in accordance with the Contract. Details of the Contract Works are more fully described in Clause 4.2. “承包工程”或“工程”指合同规定的全面设计和建造工作，承包工程详细内容参见第 4.2 款。
(c) “Date of Substantial Completion” shall mean the date of practical Completion set out in Clause 17. “实际完工日期”指 17 款规定的完工日期。
(d) “Date of Acceptance” means the date of the Certificate of Acceptance set out in Clause 17. “验收日期”指 17 款规定的验收证书签发日。
(e) “Plant” means the renovation project of C7 system 200MW plant in 10# warehouse of Inner Mongolia Zhonghuan Solar Material Co., Ltd. “厂房”指在中国内蒙古呼和浩特中环光伏厂区内 10#仓库内进行的 C7 系统 200MW 厂房改造项目。
(f) “Project” means the Owner is desirous that certain works be executed by Contractor viz. the design, supply, delivery, installation, testing, commissioning and start up of the complete facility systems. “工程”指业主欲让承包商承担指定的工程，即对整个厂房设备系统的设计、供应、交货、安装、监督、检测、调试和启动。
(g) “Project Manager” means the person appointed by the Owner to act as the Project Manager for the purposes of the Contract. “项目经理”指由业主任命，为合同目的而承担项目经理职责的人。

(h) “Facility Systems” means the power equipment systems and relative equipments of
Waste water treatment and corrosion workshop, supplied and installed for the Owner.
“设备系统”指为业主建造、供货并安装的废水站及腐蚀车间的动力设备系统及相关设备。
(i) “Final Design” means the design documents in respect of each of the Facility Systems certified as such by the Project Manager. “最终设计”指经项目经理鉴定的各设备系统的设计文件。
(j) “Contractor” means
and this expression shall include its successors-in-title and permitted assigns. “承包商”指
，包括其法定继承人及经认可的受让人。
(k) “Milestones” means the completion dates in respect of critical Contract Works indicated in Annex 2. “里程碑”指附件 2 中列明的主要合同工作的完成日期。
(l) “Concept Design” means the design documents in respect of each or the Facility Systems certified as such by the Project Manager.
“概念设计”指由项目经理鉴定的各设备系统的设计文件。
(m) “RMB” means Renminbi Yuan. “RMB”指人民币元。
(n) “Schedule of Rates and Prices” means the schedule of prices as described in Annex 10. “费率表”指附件 10 列明的价格费率。
(o) “Site” means the actual place or places on which the Buildings are to be erected or on which the Contract Works are to be done by Contractor. “现场”指将在其上厂房的实际场所以及承包商做合同工作的场所。
(p) “Specifications” means the specifications set out in the Final Design. “技术规范”指最终设计阶段确定的技术规范。
(q) “Sub-Contractor” mean any sub-Contractors engaged by Contractor to perform any part of the Contract Works.
“分包商”指承包商雇佣的承担部分合同工作的分包商。
(r) “Consultant” mean any consultants engaged by Contractor to perform any part of the Contract Works. “咨询顾问”指承包商雇佣的承担部分合同工作的咨询顾问。
(s) “Supplier” means any suppliers not being a Sub-Contractor or Consultant supplying to Contractor any goods or services to be incorporated in the Works.
“供应商”指为承包商提供与本工程有关的货物或服务的供应商，但并非分包商或咨询顾问。
(t) “Substantial Completion Date” means the date that Contractor has successfully carried out and completed in accordance with the requirements of the Contract which shall be the date acknowledged by the Project Manager “实际竣工日”指承包商已按合同要求成功地履行完成工程并通过项目经理认可的日期。
(u)
“Substantial Completion Certificate” means a certificate issued pursuant to Clause 17. “实际完工证书”指 17 款规定的证书。
1.2 Words implying the singular also include the plural and vice-versa where the context requires. The word “days” denotes working days unless expressly specified otherwise. “Working days” refers to the five (5) calendar days in a week excluding Saturdays, Sundays and Public Holidays. 根据上下文，表示单数的词语也可以表示复数，反之亦然。除非另有说明，“天”指工作日，“工作日”指一周的 5 个日历日，除星期六、星期天和公共假日以外。
1.3 The headings, marginal notes and notes for guidance in this Contract shall not be deemed to be part thereof or taken into consideration in the interpretation or construction thereof or of the Contract. 本合同中作为引导的标题、边注和注释不构成合同的一部分，在对合同进行解释时不予考虑。
1.4 All references herein to clauses are references to clauses numbered in this Agreement and not to those in any other documents forming part of the Contract unless otherwise stated. 除非另有规定，合同条款的参考都是指对合同中有编号的条款的参考，而并非任何其它合同文件的参考。
2. Contract Documents 合同文件
2.1 The following Contract Documents shall form the Contract between the parties hereto:-

(a) This Agreement and the Annexure hereto; and 本协议及其附件 (b) Such other letters or documents as the parties may agree and attach hereto in Annex 6 as Contract Documents in which in the event such documents shall also be endorsed or signed on behalf of both parties when attached hereto. 附件 6 列出的信件或文件，经过双方签署同意并附在合同中。
2.2 In the event of any conflict between the Contract Documents, the order of priority in interpreting them shall, unless otherwise mutually agreed, be as follows:- 除非双方另有约定，合同文件出现任何冲突，优先执行的次序如下：
(a) This Agreement;
本协议； (b) The Annexes to this Agreement, endorsed or signed by both parties; and
经双方签署的本协议的附件； (c) Such other letters or documents as the parties may agree and attach as Contract Documents, endorsed or signed by both parties.
双方同意的其它函件或文件，签署后成为合同文件。
2.3 The Contract Documents described in Clause 2.1 hereof shall hereinafter be collectively referred to as “the Contract”. 2.1 条款规定的合同文件统称为“合同”。
3. Appointment of Contractor 对 对 Contractor 的指定
3.1 The Owner hereby agrees to the appointment of Contractor to undertake the Contract Works with effect from the date hereof and Contractor hereby accepts the appointment on the terms and conditions of the Contract. 业主同意指定由承包商承担合同规定的工作，自合同签订生效之日起，承包商同意按照合同条款接受任命。
4.
Contractor’s Obligations 承包商 的义务
4.1 Contractor hereby agrees with the Owner to carry out, manage, and bring to completion for the Owner the Contract Works, hand over the Plant to the Owner and maintain warranty responsibility over the Facility Systems during the Warranty Period as stipulated in Clause 8, in accordance with the terms and conditions of the Contract and in a proper and timely manner. 承包商同意按照合同条款以合适、及时的方式，承担、管理并完成合同规定的工作，向业主移交厂房，并按照第 8 款质保期的规定承担质保责任。
4.2 Without limiting the generality of Clause 4.1, Contractor’s scope of Contract Works shall include the following: 在不限制 4.1 款一般性原则的情况下，承包商的合同工作范围包括以下：
(a) Preparing and submitting to the Owner and governmental authorities for approval of designs, drawings and specifications where applicable. 按规定向业主和有关政府部门准备和提交供审批用的设计文件、图纸和技术条件书。
(b) Making amendments to designs and drawings to incorporate changes during the construction subject to Clause 6 and to check and coordinate the final design of the individual Sub-contactors and Suppliers. 根据合同第六款条款，配合项目进行过程中所产生的变更、修改设计文件和图纸。
(c) Delivering to the Owner after completion of the final design (4) sets of the Sub-contactors and Suppliers designs and drawings, a set of soft copy as well. All documents provided by Contractor shall be in Chinese and English languages. Where applicable, designs shall be in both Chinese and the English languages (for governmental submission, meet the requirements of the government and the owner). 向业主提供 4 套施工图设计文件，包括一套电子版文件。所有由承包商提供的文件为中、英文双语版本，

(d) To deliver materials, install, manage and supervise all Sub-Contractors and Suppliers in respect to the construction of the facility plant for the supply, installation and commissioning of the systems (spare parts are not part of the Contract unless expressively stated in Annex 1). 为厂房各系统的供货、安装与调试目的而交付材料、安装，管理并监督所有分包商及供应商（除非附件 1中明确说明，否则备品备件均不属于合同部分）。
(e) Check, co-ordinate and approve shop drawings for assigned scope of works. 检查、协调并批准合同工作的加工图。
(f) Select and propose for approval the equipment brand that is able to meet and comply with the specifications. 建议符合技术规范的设备品牌。
(g) Perform the construction, installation and testing of the facility in accordance with the time schedule for completion. 按照时间进度表进行设备的施工、安装与调试。
(h) Ensuring that the systems are fully operational and are in compliance with the terms and conditions of the Contract. 确保厂房系统完全运转，并符合合同条款的要求。
(i) Perform the starting up, calibrating and certificate on where applicable. 适用情况下进行启动、校准与认证程序。
(j) Deliver to the Owner from the date of substantial completion full sets of as-built drawings and operation & maintenance manuals and warranty certificates (issued in the name of the Owner) where applicable. 适用情况下在工程竣工日向业主交付全套竣工图、操作与维护手册、质保证书（以业主名义）。
(k) To clear and remove from site of all construction plant, machinery and equipment, surplus materials and rubbish of any kind used for the assigned scope of work after issue of Final Acceptance Certificate. 最终验收证书颁发后，从现场清理用于合同工作的施工机具、剩料以及垃圾。
(l) Manage safety related issues and to provide safety compliance plan and implementation of safe working procedures on the job site. 负责安全管理，制定安全规章制度，现场推行安全工作程序。
(m) Manage and supervise clean construction practices, provide training courses for Sub-Contractors and implementation of QA/QC procedures and control on site. 管理并监督施工作业的卫生，向分包商提供培训程序，在现场推行 QA/QC 程序。
(n) Evaluate, negotiate and enter into sub-contracts with the Sub-Contractors, Consultants and Suppliers. All materials and equipment to be supplied and all works to be done under this Contract shall be manufactured and/or executed in accordance with the approved Final Design provided by the Owner. The Owner can attend technical evaluation of the Suppliers. For operation cost saving, Equipment and some material will be purchased by using the Owner’s name. The Owner can recommend supplier to but Contractor make the final decision. Equipment and materials purchased in the name of the owner, with materials, equipment suppliers to sign purchasing contract by the owner, the owner directly to materials, equipment supplier payment or owner entrust Contractor to materials, equipment suppliers, procurement owner take on purchasing the related rights and obligations under the contract, Contractor assist the owner for acceptance of
materials, equipment and supervision. 工程主体部分不允许分包给其他第三人，非主体部分进行分包须经过业主书面同意。
与分包商、咨询顾问及供应商评估、谈判并签订分包合同。所有供货材料、设备，以及本合同项下的工作均应按照业主批准的最终设计生产并/或实施。业主可参与供应商的技术评估。为了降低项目运营成本，设备及可能的材料名义买方可以为业主。关于设备供应业主可以推荐，最终决定权在承包商。设备及材料以业主名义购买的，由业主与材料、设备供应商签订采购合同，业主直接向材料、设备供应商支付货款或业主委托承包商向材料、设备供应商采购，业主承担采购合同的相关权利义务，承包商负责协助业主进行材料、设备的验收和监督。
(o) Exercise all reasonable skill, care and diligence in performing the Works and shall carry out its responsibilities in accordance with recognised professional standards. Contractor shall in all matters act as a faithful Contractor to the Owner. 运用相当的技能，精心并勤勉地实施工作，按照公认的职业规范承担相应的责任。在所有事务中承包商将

作为业主守信的承包商承担其责任。
(p) Hand over the fully operational building and facility systems to the Owner after the issue of the full Final Acceptance Certificate. 最终验收证书发放后向业主移交完全运转的建筑物与设备系统。
(q) Provide a Safety Supervisor/Officer and other required services as stated in the scope of work enclosed in Annex 1.
提供安全监督员/安全主管以及附录 1 工作范围内规定的其它服务。
(r) Contractor shall take the authorities issues of EPC contract. Meanwhile the Owner shall provide related documentation in time and support Contractor to complete authorities’ applications. 承包商还应当承担由总承包方应当承担的政府报批手续。同时业主应及时提供相应文件并协助报批。
5. Contract Price 合同价格
5.1 In consideration of Contractor undertaking the Contract and completing the Contract Works as set out in Clause 4, the Owner hereby agrees to pay Contractor a Contract Price of RMB

5.2 The payment terms shall be within fifteen (15) calendar days from the date of receipt of Contractor’s invoice to the bank as stipulated in Annex 3. If any monies due to Contractor remains unpaid after the date upon which or the expiration of the period within which they should have been paid, then the interest shall be payable thereon. The rate shall be in accordance with the rate stipulated by the authority or calculation according to the one to three years
benchmark lending rate 2 times the same period of The People"s Bank of China. 付款方式为收到承包商发票后 15 个日历日内通过银行支付，详细内容参见附录 3。付款日期之后或付款期到期后仍未支付承包商的款项将计收利息。利率按照主管部门的规定或按照中国人民银行一至三年同期贷款基准利率的 2 倍计算。
5.3 Payments by the Owner to Contractor in respect of the Contract Price shall be made in RMB to an account nominated by Contractor in Huhhot, People’s Republic of China.
Once cash payment amount received from owner is more than 50% of total contract amount, acceptance draft of less than 20% of total contract amount is acceptable. The maximum period of acceptance shall not be longer than 3 months. Such as owner capital condition is really necessary, above this case payment acceptance according to both sides talks things over, acceptance ratio can be improved.
业主支付合同价格的款项应存入承包商在中华人民共和国呼和浩特市指定的账户，支付币种为人 民币。
当合同现金支付额度达到合同总额 50%以上时可使用承兑汇票，总额不应超过合同总额的 20%，承兑期限不大于 3 个月。如业主资金状况确需高于此比例支付承兑汇票，根据双方协商确定，承兑汇票比例可以提高。
6. Variations 变更
Variations which affect the Contract Price
影响到合同价格的变更
6.1 The following changes will affect Contract Price: 以下变更将影响到合同价格：
(a) Changes which are beyond the scope of contract works as set out in Annex 1;
超出附录 1 规定的合同工作范围的变更； (b) Changes mutually agreed to by the Owner and Contractor; 业主与承包商双方同意的变更； (c) Extension of Project duration due to the Owner as per Clause 18.3 of this Contract; 因业主原因导致的项目延期，见本合同第 18 条第 3 款；

(d) Changes proposed by Contractor, Sub-Contractor, Consultant, and/or Supplier which have been agreed in writing by both the Owner and Contractor 经业主、承包商书面同意的由承包商、分包商、咨询顾问和/或供应商提出的变更； (e) Changes due to governmental and other regulatory requirements; 因政策法规要求而导致的变更； (f) Or any other reasons beyond the reasonable control of Contractor. 或者任何超越承包商合理控制范围的原因。
(g) All requests for the above changes shall be made in accordance with procedures mutually agreed between the Owner and Contractor in writing. according to the quantity change
which on the basis of the
certain quantity changed ,the value of all variations shall be ascertained by reference to any Schedule of Rates and Prices contained in the Contract for the like or analogous work (for the party b causes of change items, such as the market price is higher than the contract price by more than 3%, shall be carried out according to both sides confirmed the market price), but if there are no such rates and prices, or if they are not applicable, with reference to at that time, information released by the local market price is determined, if the actual price difference Contractor more than 10% of the price of the market information, exceed a part according to the actual settlement price. 以上变更应按照业主与承包商双方书面同意的程序提出申请，按变更后确定的工程量为基础，变更价格将参照合同中的类似工作的费率表及价格（对于非乙方原因造成的变更增项，如市场价的浮动率高于合同单价的 3%，应按双方确认的市场单价执行），如无相关的费率和价格，或不适用，参照当时、当地公布的市场信息价确定，若承包商实际发生的单价差异超过或低于市场信息价的 3%的，双方按照实际发生的价格结算。
7. Warranties and Undertakings by Contractor 的质保责任
Contractor warrants and undertakes with the Owner as follows: 承包商向业主承担的质保责任如下：
a) that the Contract Works will be carried out in the approved manner as set out in the Contract;
合同工作将按照合同规定的方式开展； b) that Contractor including the Sub-Contractors and Suppliers shall comply with the specifications and drawings; 承包商，包括分包商与供应商应执行技术规范与图纸的要求。
c) that all the Facility Systems and equipment to be supplied to the Owner are new and free from any defects caused by faulty design, faulty material or inadequate workmanship. 向业主供货的设备系统应为新品，无不当的设计、材料或工艺缺陷。
In the event of non-compliance to the above, Contractor shall carry out or co-ordinate with the respective Sub-Contractors and Suppliers to carry out the rectification works. 如不符合以上要求，承包商将与相关分包商及供应商承担或协调补救措施的实施。
8. Warranty Period 质保期
8.1 The warranty period for the Contract Works (“Warranty Period”) shall be twelve (12) calendar months commencing from the Date of Acceptance, which shall not be later than sixty (60) calendar days after substantial completion. The Owner shall notify Contractor in writing immediately of any defects that appear during the Warranty Period. The Warranty Period shall follow the related requirement of the Chinese laws and regulations. The warranty period for each single equipment shall be the warranty period committed by the Supplier.
Repair work for the facility system shall be responsible by the Owner after the Warranty Period. However, if the Owner requires Contractor to do the repair work, Contractor shall provide the repair work service with service fee and material charges to the Owner. 合同工作的质保期为 12 个日历月，自验收之日起算，验收日不得迟于实际完工（包括质量整改）后 60 日历日。质保期内发生的任何缺陷由业主及时书面通知承包商（厂房按照国家相关法律法规要求的质保期、设备单体的保修期按设备供应商承诺的实际保修期计）。厂房动力系统在质保期以后的维修工作由业主负责，如业主需要承包商提供维修，则承包商应负责维修并收取相应的材料和服务费用。

8.2 Warranty of permanent equipment and/or material for the Plant shall be assigned to the Owner, to the same extent as provided for in the sub-contract between Contractor and the respective Sub-Contractor and/or Supplier supplying the said equipment and/or material.
永久设备和/或材料的质保将转移给业主，质保范围同承包商与上述设备和/或材料分包商和/或供应商之间签订的分包合同内规定的质保责任。
8.3 When any defects which may have been required to be rectified has been
rectified, The Owner
shall issue a Certificate of Completion of Making Good Defects.
如业主认为缺陷已按要求修补，可颁发缺陷修补完工证书。
8.4 Tear and wear parts are excluded from the Warranty Period (List of consumable shall be provided together with the O&M Manual). 质保期不包括对易损部件的质保（损耗部件清单随操作手册提供）。
8.5 Warranty claims will only be recognised if the facility has been operated in full compliance with the operations and maintenance instructions. 质保索赔得到认可的前提是必须完全按照操作与维护说明进行操作。
8.6 Contractor will appoint a site warranty inspection team for fast response during the Warranty Period, with the related personnel’s’ contact information to be posted clearly on the site office. 承包商将在现场设立质量保证组，确保质保期内的快速反应能力。相关人员名单及联系方式应张贴于现场办公室墙上．
9. Proprietary Rights and Intellectual Property Indemnification 所有权与知识产权保护
9.1 Contractor shall indemnify the Owner against all actions, proceedings, liabilities, claims, losses, costs, damages and expenses (including legal costs on a solicitor and client basis) arising from any claim asserted against the Owner that any part of the design, work or any methods of its use constitutes an infringement of any patents or other proprietary interest of any third party subject to the limitations set out in Clause 10. 如任何第三方因任何部分的设计、工作或使用方法而构成的对其专利权或所有权利益侵权向业主提出索赔，承包商应当根据合同条款 10 的责任限额保护业主不受该索赔引起的任何诉讼、起诉、债务、赔偿、损失、费用、损害和开支（包括基于律师－委托人关系的诉讼费）的侵害。
9.2 In the event of any claim being made or action brought against the Owner arising out of matters referred to in Clause 9.1 above, Contractor shall be notified promptly thereof and shall at its own expense conduct all negotiations for the settlement of such claims or actions and any litigation that may arise therefrom. The Owner shall at the request of Contractor give Contractor such assistance as Contractor may reasonably require in the defence against such claims or litigation. 如果第 9.1 款提及的问题导致任何针对业主的索赔或诉讼，应立即通知承包商，承包商将进行谈判以解决上述索赔要求以及因此而导致的诉讼并承担相关费用。在对索赔或诉讼的抗辩过程中，承包商可合理地要求得到业主的协助。
10. Limit of Liability 责任 限额
10.1 The maximum aggregate liability of Contractor arising our of or relating to any manner to the performance or non-performance of obligations in connection with this Contract, whether based on contract, warranty, guaranty, indemnity, tort, or otherwise, shall in no way exceed 30% of the Contract Price. 由于承包商对合同义务的执行的行为或者不作为导致的，无论依据合同，质保，保证，赔偿，侵权或者其他，承担不超过 30%合同总额的责任。
In no case whatsoever shall the Owner be entitled to claim damages other than compensation for costs of remedying defects in the supplies. Contractor shall not be liable for any loss of production, loss of use, loss of order, loss of profit or other indirect or consequential damages. This exclusion of liability, however

does not apply to unlawful intent or gross negligence on the part of Contractor. Furthermore, this exclusion of liability does not apply insofar as it is contrary to compulsory law. 在任何情况下业主都不能索赔除修补缺陷所发生的直接费用以外的损失。承包商不承担任何生产损失、使用损失、定单损失、利润损失或其它间接、直接损失。然而，这种责任的排除，不适用于承包商的违法行为、重大疏忽等，而且也不适用于与法律相悖的情况。有特别约定除外。
11. Access to Site 进入现场
11.1 The Owner shall allow Contractor and its authorised representatives to have access to the Site during the period of execution of the Contract Works. 业主应允许承包商及授权代表在实施合同工作期间进入现场。
11.2 Contractor shall ensure that all work on the Site is undertaken in a safe and workmanlike manner and in compliance with all safety regulations in force in China at all times. Contractor shall set up appropriate safety procedures and shall be responsible for the safety of the Site until the date of issue of the Taking-Over Certificate and shall take all necessary measures to maintain site safety. Contractor shall also be responsible for any risk in respect of safety for total construction duration. Any losses incurred to Owner by reason of accidents from Contractor shall be borne by Contractor, subject to the limitations set out in Clause 10. 承包商应保证以安全且符和工艺要求的方式进行现场工作，遵守中国现行安全规章制度，建立安全程序，负责现场安全，采取一切必要措施保证现场安全，直至移交证书颁发之日。承包商承担施工过程中的安全风险；并承担因承包商自身原因导致的安全事故给业主造成的损失，且不适用于合同条款 10.1 的规定。
11.3 Contractor may store the Facility Systems, equipment or parts thereof with the Owner’s approval on the site at its own risk. If, in the opinion of the Project Manager, the storage of the Facility Systems, equipment or parts thereof causes obstruction to any other constructional activities undertaken by Contractors engaged directly by the Owner either on the Site or at other part of the Owner’s land, the Project Manager shall be empowered to give Contractor instructions to such other Contractors to remove the cause of such obstruction. In this case the Owner shall advise a new location and bear all costs. 经业主同意后承包商可在现场储存设备系统、设备及部件并承担风险。如项目经理认为储存的设备系统、设备、部件等对业主直接雇佣承包商的施工活动或在业主其它地方造成障碍，项目经理有权指示承包商清除障碍。上述情况下业主应建议新的存储地点并承担费用。
11.4 Contractor shall ensure the construction activities and materials compliant with the national and local laws and regulations in respect of environment protection, and take the responsibilities to the related risks. 承包商施工过程和工程材料应符合国家和地方关于环保方面的相关法律法规的要求，并承担由此带来的风险。
12. Instructions, Directions and Progress Reports 指示、指令及进度报告
12.1 The Owner shall furnish without charge and within five (5) working days all pertinent data and information available to Contractor and shall give such assistance as shall reasonably be required by Contractor for carrying out of its duties under this Contract. The Owner shall give its decision on all sketches, drawings, reports, recommendations and other matters properly referred to for decision by Contractor in such reasonable time as not to delay or disrupt the performance by Contractor of its services under this Contract. 业主应在 5 个工作日内无偿向承包商提供所有相关的资料和信息，并应根据承包商的合理要求协助其完成本合同项下的责任。业主应在合理的时间内对所有的草图、图纸、报告、建议和其他由承包商提交的事项做出决定，以免耽误或中断承包商对其合同义务的正常履行。
12.2 Contractor shall comply with all written instructions of the Project Manager and will report in writing to the Owner on Contractor’s activities and work in progress once a month.
Any action or decision of Contractor or the Owner which may affect the time schedule or the cost of the Contract Works shall only be taken or made upon the mutual agreement of both Contractor and the Owner.

承包商应遵守项目经理的所有书面指示，并每月一次向业主报告工作进展（书面报告）。任何承包商或是业主做出的可能影响工程进度或合同工作费用的行动或决定，均应得到双方的同意。
13. Standards 标准
13.1 The construction and installation shall be in compliance with all relevant governmental and other regulations and guidelines in force in China, the relevant standards of the industry and the standards and regulations set by the Owner and agreed by Contractor. 建造与安装应符合中国现行的政策及相关法规、相关的工业标准以及业主设定并经承包商同意的标准与规章。
13.2 The Owner shall be responsible for applying for and obtaining necessary approvals in respect of these Contract Works and the Facility Systems as may be required by law or regulation. Contractor provide related documentation for support. Contractor shall bear the inspection fee, with the Owner bearing the cost of record archiving fee.
法律法规中对合同工作及设备系统要求申报许可证的，由业主负责申领。承包商提供相应资料，前期检定费用由承包商承担，备案费用由业主承担．
13.3 All materials, equipment and workmanship shall be in accordance with the current codes and standards applicable to the respective portions of each Facility Systems, provided that design documents do not indicate otherwise.
设备系统各部分如在设计文件中没有特别指出，所有材料、设备、工艺应符合现行标准与规范。
14. Transfer of Property and Risk 所有权与风险的转让
